1.         There is no right way to do a wrong thing.

Dont try to justify the inexcusable--if it is wrong, its wrong!

2.         Local culture is not an excuse for bad practice.

For example, facilitation payments may be common locally, but these are a form of corruption and often despised by the local population.

3.                      There's no such thing as a free lunch--be cautious in offering and accepting gifts and entertainment.

Ask yourself WHY the gift or entertainment is being offered. It is acceptable, however, to exchange nominal gifts or provide reasonable entertainment in order to build and reinforce business relationships.

4.         KNOWLES's reputation is only as good as its weakest link.

Help others understand our policy commitments and expectations. Do your part to foster an environment where ethical dilemmas are openly discussed and debated.

5.         Complying with the law may not be enough to meet our business standards.

KNOWLES often sets the ethical bar higher than simply what the law may allow.

6.         Talking to other people is the best way to resolve a dilemma.

Better discussions provide different perspectives, which ultimately make for better ethical decisions.

7.         Our business partners are a reflection of KNOWLES's values--choose them carefully.

Companies, like individuals, are judged by the company they keep--so select business partners wisely!

8.         Ask yourself if you're happy to publish your decision in the newspaper.

This quick test is a great check to determine if your actions are appropriate.

9.         Don't mix personal interests with business decisions.

Conflicts of interest damage reputation. Disclose all real or perceived conflicts between your personal interests and your job responsibilities to your management.

10.         Just because you've always done it, it doesn't necessarily mean it's right.

Not all practices that have withstood the test of time will also withstand the test of ethical scrutiny which is becoming more rigorous over time. Keep your perspectives fresh and your ethical awareness evolving.
